Your Partner for Global Corporate Alliances

Partner Your Way to Success ...

(Please note that this brochure is also available in JAPANESE. For a copy, please contact David Palella as noted below. Doozo yoroshiku onegai mooshiagemasu.) BioScience Ventures, Inc. specializes in facilitating global corporate alliances between Japanese, European and U.S. bioscience-related companies in the areas of biopharmaceuticals, diagnostics and bioagriculture. We are expert at the early identification of completely novel, patentable and path-breaking technologies with major market potential worldwide. We actively network both on-line and off-line with venture capitalists, scientists, entrepreneurs, professors, investment bankers and biotech visionaries. In this way, we proactively locate, identify, evaluate and immediately highlight promising technologies to our clients. BioScience Ventures, Inc. represents both major multi-nationals as well as entrepreneurial bioventure companies. Once retained, we aggressively assist our clients to simultaneously pursue partnering opportunties in all geographic spheres, to include Japan, Europe and North America. Invariably history has shown that the bioventure companies that have failed or that have produced mediocre results have been those that did not partner enough. In short, a false belief by top management in the value of "exclusivity" results in limited options -- and financing! Don't limit the strategic options of your company, whether multinational or "uni-national," partner your way to success! Executed properly, partnering enhances shareholder value and reduces business risk by broadening a firm's financial basis and reducing development timelines. The time value of money dictates that it is better to partner earlier than later. However, especially in the case of Japan, top management of bioventure companies will often delay until last a Japan partnering campaign because it is well known that Japanese pharma companies take many months or even years to complete their due diligence. Of course, leaving the longest event on the critical path until last means unnecessary delays in clinical development and regulatory approval in Japan. In short, bioventure companies should seek a Japanese partner first! and then later work on finding North American and European partners. Regardless, to enhance their negotiating power, we encourage our bioventure clients to simultaneously seek multiple partnering opportunities in one or more geographic spheres. By delegating to BioScience Ventures, our clients can effectively execute two or more partnering campaigns at the same time. So don't limit your company's future strategic options, call us today for a free telephone consultation about your partnering prospects worldwide !

How We Work with Clients ...

BioScience Ventures, Inc. works on either a retainer or project basis with clients, depending on the scope of work involved. In the case of strategic partnering campaigns, a retainer of 1 - 2 years in length is required. Our retainer agreements are quite standard and call for payment of time plus expenses, as well as a negotiable commission on all monies raised. We do NOT request stock nor stock options, nor will we accept these if offered. We rarely engage in project-based work for bioventure companies. Once retained by a bioventure company seeking a Japanese partner, we work with the client to re-write and translate into Japanese the client's corporate and scientific information. Then, either alone or in conjunction with the client, we select an appropriate list of Japanese pharma companies to contact. Our strategy is to keep expenses low by intiating the partnering campaign by mail and fax. After 1 - 3 months of contacting Japanese firms, a subset of seriously interested potential partners will emerge. After "qualifying" 4 - 6 serious candidate companies, we will recommend that our client visit Japan for one week for detailed business and/or scientific discussions. From this point, assuming the client's technology is actually competitive in Japan, it will usually take another 6 - 12 months to finalize an agreement. In the case of our European or Japanese pharma clients, we often work on either a project or retainer basis. For project-based work we will provide a written estimate of the cost of the project in time and expenses. We are usually able to complete projects within 2 - 4 weeks -- on time and on budget. We also work on a long-term retainer basis with Japanese or European pharma companies as their U.S. or U.S. West Coast business development office. Although located in California, we are members of and/or active in biotech groups in Australia, Canada, Massachusetts, Maryland, North Carolina, New York, Oregon, Washington, Texas and several other U.S. states. As noted above, we are experts in early identification of completely novel, patentable and leading-edge biotech-related technologies and biopharmaceutical compounds with major worldwide market potential. We are in daily contact with our major clients by telephone and fax. Typically we will introduce 5 - 10 selected new licensing opportunities/week to our major clients. Unlike many other consultants, we are fully transparent in our work for clients. We share all original company materials and correspondence with our clients and never disguise the identity of a licensing candidate or partner. Typically we send our major clients 2 or more express-mail shipments/week of information tailored specifically to their strategic licensing interests. In sum, we bring the world of biotechnolgy to our clients everyday.

Client Benefits & Results ...

Transparency! It's a rarity in this field. Most consultants are black boxes. They hide information from their clients to foster dependency and to generate longer retainers or projects. But not BioScience Ventures, Inc. We share all information and all contacts with our major clients. We teach our clients self-sufficiency and self-reliance by transfering our know-how and our good international relationships to our clients. Hence, regardless of the final outcome of a particular licensing negotiation, our clients can see significant in-house benefits from working with us. In short, we believe our clients are satisfied with our results and the benefits of working with BioScience Ventures, Inc. And upon request we will provide you with client references from either Japan, the U.S. and/or Canada. Thank you for taking the time to read our Brochure to learn more about our company and services. We look forward to hearing from you soon.
